Welcome! This End User License Agreement ("Agreement") is a legal contract between you and Korotu Technology Inc. (“Korotu”) regarding your use of our software applications ("Services"). By using our Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
Our Service is a commercial product designed for specific, intended business purposes. You are allowed to use it only as we have described in this Agreement and any related documentation. Any other use, such as reverse engineering, unauthorized redistribution, or using the Service in ways we did not intend or permit, is strictly prohibited.
Please read this Agreement carefully. It helps protect both you and us by clearly stating what is allowed and what is prohibited. If you do not agree to these terms, feel free to reach out to us or choose to not use the Service.
1. License Grant
Subject to your compliance with this Agreement, Korotu grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes via web browsers or supported client applications.
2. Ownership
All rights, title, and interest in and to the Services, including but not limited to all proprietary software, content, trademarks, and intellectual property rights, are and will remain the exclusive property of Korotu.
3. Restrictions
You agree not to, and you will not permit others to:
Copy, modify, adapt, translate, or create derivative works based on the Services
Reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code of any portion of the Services
Use the Services for any purpose other than its intended purpose, including commercial exploitation without express written permission
Remove, obscure, or alter any proprietary rights notices, including copyright and trademark notices, contained in or displayed by the Services
4. Third-Party Software
The Services incorporate certain third-party software and open-source components licensed under their respective licenses. You agree to comply with all applicable third-party license terms. 5. Disclaimer of Warranty
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL KOROTU TECHNOLOGY INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
7. Termination
Korotu may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason including breach of this Agreement.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law principles.
9. Miscellaneous
If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
10. Updates to the End User License Agreement
Korotu reserves the right to modify or update the Agreement at any time, at our sole discretion. When changes are made, we will provide written notice, such as via email, and update the date at the top of this document. Continued use of the Services after 14 days of any such changes constitutes your acceptance of the revised End User License Agreement.
